TERMS AND CONDITIONS OF SERVICE

Application: Persons who wish to obtain service must complete the Company's Application form.

Connection: An applicant who is accepted by the Company for connection must pay:

(a) The standard connection fee of EC$140.00, which is non-refundable (please see attachment #1), and

(b) The fee for the month's service before the company will undertake to connect the said applicant.

Payments: Fees for the Company's service are to be paid monthly in advance at the office of the Company at 20 Bath Road, Roseau, or to any person, institution or body, authorized by the Company. The Company will send invoices for fees monthly but the monthly fee must be paid whether or not the subscriber receives an invoice.

Fees: The monthly fee to be paid will depend on the purpose for which the service is provided, that is, domestic or commercial.

Domestic - For private residences and/or such purposes other than commercial as

may be approved by the Company.

Commercial - For hotels, guesthouses, apartment complexes (unless individual

Connections are requested), restaurants, bars, offices, etc

.

Disconnection: The Company may in its own discretion and after consideration of the merits of each subscribers personal circumstances, discontinue service to the subscriber without notice for any of the following reasons: -

(c) Failure to pay the monthly fee within 15 days after the due date for payment

(d) Tampering with the Company's equipment or materials

(e) Allowing persons who are not subscribers to connect to the Company's service (Illegal Connection that can lead to legal action being taken);

(f) Using the service in such a manner as to adversely affect the business of the Company.

Please note: Should the company in its own discretion and deliberation decide not to continue the service for any of the reasons cited in (a), (b), (c) and (d) above, the subscriber shall REMAIN LIABLE for payment of all fees due for the duration of the provision of the service by the company to the subscriber.

Reconnection: The Company will reconnect or cause service to be restored to a subscriber on the following terms and conditions:

(g) That the cause for disconnection has been remedied to the satisfaction of the Company

(h) That the reconnection fee of EC#30.00 has been paid to the Company; and

(i) Where the reason for disconnection was the non-payment of the monthly fee, arrangements are made to the satisfaction of the Company for future payments.

Company Lines/Equipment/Materials: The Ctompany is entitled by its servants, employees or agents to enter upon the premises of the subscriber at such reasonable times as circumstances will allow for the purpose of:

7.1 Doing all that is necessary to provide such service as is requested by the Subscriber

7.2 Maintaining the service provided by the Company, and

7.3 Carrying out any necessary repairs as will allow the Subscriber to obtain the service of the Company.

Please note that all service installations including lines, equipment and materials remains the sole property of SAT Telecommunications Limited and should not be removed or tempered with. SAT Telecommunications Limited reserves the right to take legal action if the above is not adhered to.

Liability: The company will not be responsible for any loss, damage, liability and legal fees and costs incurred by the subscriber or any of the Subscribers, agents, employees, licensees, customers in connection with the Company's service including its equipment and materials or for any other reason so long as such loss, damage, liability, fees or costs resulting from the Company's service (including its equipment and materials) and was not due to the default of the Company.

Indemnity: The subscriber will indemnify and keep indemnified the Company from and against any and all loss, damage, liability and legal fees and costs incurred by the Company because of or as a result of:

(j) Any neglect or default of the Subscriber or any of the Subscribers agents, employees, licensees or customers in connection with the Company's service including its equipment and materials;
